    What is Corporate and Commercial Law?

    Corporate and commercial law are often confused with each other. In fact, law schools often offer them as a joint LLM, which may make a layperson ask ‘is commercial law and corporate law the same’. While they are both branches of business law, there are some important differences that it is important for those engaging with them to understand. Here’s everything you need to know about corporate and commercial law.

    What is the difference between corporate and commercial law?

    Broadly speaking, corporate law are laws concerning the ownership, management and structure of businesses. This also includes regulation, financing and management practices.

    Conversely, commercial law covers the more day-to-day running of a business. This includes transactions, collaboration between businesses, trade and ownership. It is considered a far broader area of law.

    Practices covered by corporate law

    A law firm engaged with corporate law would have expert lawyers on hand covering things like incorporation and formation, restructuring, merger and acquisitions, corporate governance, shareholders rights and liquidation.

    Practices covered by commercial law

    A law firm engaged with commercial law would have lawyers who are experts in areas such as consumer law, contract law, intellectual property law, international transactions and trade law, and employment and labour law.

    Both areas offer important protections for businesses and are important for the functioning of a healthy environment for businesses to do what they do, both in terms of providing products and services and creating jobs.
